Citation: 2025 VI 19Summary: In an appeal from the Superior Court’s order granting summary judgment in favor of the appellee Bank and the appellants’ breach of contract and promissory estoppel claims, because the individual appellant was not a party to the loan agreement, he lacks standing in his individual capacity to bring claims against the Bank, and the appellant development company is the only party that holds the right to recover any loan proceeds. However, since the development company failed to pay a contemplated commitment fee and timely close on the loan, the Bank had no duty to issue the loan. As to the individual appellant’s promissory estoppel claim, because the loan agreement was a valid contract and he was never a party to that contract, his promissory estoppel claim cannot succeed. For these reasons, no jury could reasonably find that the Bank breached its contract with the development company, and the Superior Court correctly determined that the case could not proceed to trial. The Superior Court’s order granting summary judgment to the Bank is affirmed.Attachment:
